Alimentation Couche-Tard aimerait acheter l’exploitant des dépanneurs 7-Eleven, une opération hautement complexe laissant des observateurs sceptiques devant ce qui serait la plus grosse transaction encore jamais réalisée par l’entreprise de Laval.

Seven & i Holdings, une société établie au Japon, a indiqué lundi avoir reçu une offre d’achat de la half de Couche-Tard et avoir formé un comité spécial pour évaluer la proposition.

« Ni le conseil d’administration ni le comité spécial n’ont décidé à ce stade d’accepter ou de rejeter la proposition, d’entamer des discussions ou de poursuivre une autre transaction », est-il mentionné par communiqué.

Couche-Tard confirme de son côté avoir « récemment soumis une proposition amicale et non contraignante » à Seven & i Holdings. Il est ajouté que rien ne garantit à ce stade-ci qu’une entente ou une transaction sera conclue.

Seven & i Holdings exploite cinq fois plus de magasins que Couche-Tard, avec près de 86 000 établissements dans le monde. Le chiffre d’affaires annuel provenant du réseau de 17 000 magasins de Couche-Tard s’élève à environ 95 milliards de {dollars} canadiens, ce qui est similaire à celui de Seven & i Holdings. À 80 milliards de {dollars} canadiens, les investisseurs accordent une plus grande valeur boursière à Couche-Tard.

Bien que la valeur de la transaction proposée par Couche-Tard ne soit pas révélée, l’motion de Seven & i Holdings a néanmoins bondi de 23 % lundi à la Bourse de Tokyo, donnant une valeur supérieure à 52 milliards CAN à l’entreprise asiatique.

« Cette approche est imprégnée de l’ADN de Couche-Tard : elle est audacieuse, mesurée et, en cas de succès (avec un grand « si »), elle constituerait l’aboutissement d’un parcours visant à faire de l’entreprise le plus grand exploitant de dépanneurs au monde », commente l’analyste Irene Nattel, de RBC.

« Il s’agirait d’une transaction transformatrice qui doublerait la taille de Couche-Tard », ajoute son collègue Michael Van Aelst, de la TD.

Cet knowledgeable se demande toutefois remark une opération de cette taille serait financée, si elle obtenait l’approbation nécessaire des autorités, et si Seven & i Holdings a d’autres options pour maximiser sa valeur.

D’un level de vue stratégique, Michael Van Aelst considère l’opération optimistic pour Couche-Tard en raison du potentiel de synergie substantiel en Amérique du Nord. Ilt évalue les components de marché de Couche-Tard aux États-Unis à 4 ou 5 % et celles de 7-Eleven à environ 8 %. La half combinée serait donc de 12 à 13 %.

« Ça permettrait de créer le numéro 1 de l’industrie sur le marché américain par une marge considérable. Casey’s Basic Shops serait le numéro 2 avec seulement 1,7 % de half de marché », calcule l’analyste Anthony Bonadio, chez Wells Fargo.

Le chevauchement géographique nécessiterait des cessions d’environ 10 % en Amérique du Nord, selon Michael Van Aelst.

Pour qu’un accord financier n’impliquant pas un échange d’actions soit conclu, Michael Van Aelst s’attend à d’importants placements privés auprès d’investisseurs institutionnels comme des caisses de retraite, par exemple, en plus d’une émission publique d’actions.

Anthony Bonadio ne cache pas son incrédulité. Il souligne que Seven & i Holdings détient un ensemble d’actifs non liés à l’lodging, notamment des épiceries et des grands magasins, ainsi que des activités de providers financiers.

« La taille et la complexité de cette opération rappellent certainement la tentative de Couche-Tard d’acheter Carrefour en 2021, qui avait été accueillie négativement par les investisseurs et rapidement stoppée par le gouvernement français », dit Anthony Bonadio.

« Je ne suis pas convaincu que le gouvernement [japonais] laisserait aller un champion nationwide de l’alimentation. La France ne l’a pas fait », soulève-t-il dans une notice envoyée à ses purchasers.

L’opération envisagée constituerait la plus grande acquisition d’une entreprise japonaise par une entreprise étrangère de l’histoire, selon les analystes.

Une self-discipline historique

La course de Couche-Tard – avec son fondateur et président exécutif du conseil Alain Bouchard – entretient une réputation d’acquéreur discipliné.

Couche-Tard n’a pas hésité dans le passé à laisser tomber un projet d’acquisition si, par exemple, le prix à payer ne convenait pas. Il suffit de penser à l’australienne Caltex, en 2020, et à l’américaine Casey’s Basic Shops il y a une quinzaine d’années.

Même si les patrons de Couche-Tard participeront dans deux semaines à une conférence téléphonique pour commenter les plus récents résultats trimestriels de l’entreprise, la course dit ne pas prévoir offrir d’autres commentaires concernant ses discussions avec Seven & i Holdings à moins qu’une entente soit conclue.

L’initiative de Couche-Tard pourrait provoquer une surenchère et attirer des propositions venant d’autres acquéreurs potentiels, notamment des firmes d’investissement privées.

Le dépôt d’une proposition par Couche-Tard à Seven & i Holdings serait l’aboutissement d’échanges entre les deux entreprises remontant à plusieurs années. Un quotidien asiatique rapporte que Couche-Tard a même essuyé une fin de non-recevoir en 2020.

Si bien que Seven & i Holdings travaille depuis plusieurs mois avec des conseillers bancaires, dont Morgan Stanley, pour se prémunir contre ce qu’elle considère comme la menace croissante d’une acquisition par une société étrangère, selon le Monetary Occasions.

Acquisition aux États-Unis

Couche-Tard a par ailleurs annoncé lundi l’acquisition de 270 commerces d’lodging et de vente de carburant GetGo Café+Markets auprès de la chaîne de supermarchés Big Eagle.

GetGo compte environ 3500 employés et exploite ses magasins en Pennsylvanie, en Ohio, en Virginie-Occidentale, au Maryland ainsi qu’en Indiana. La valeur de cette transaction n’a pas été précisée.
